Terms of Service

These are the terms for using Cephas Docwell, a service run by Cephas Infosystems ("we", "us"). "You" or "the clinic" means the clinic that signs up. By creating an account or using Cephas Docwell you agree to these terms. If you don't agree, please don't use it. We've written this in plain language on purpose.
1. What Cephas Docwell is (and isn't)
Cephas Docwell is a tool that helps clinics schedule appointments and send SMS messages to patients and consultants, and raise invoices. That's all it is — a scheduling and communication tool. It is not medical software and it does not give medical advice.
You own the care. All treatment, diagnosis, clinical decisions and patient care are entirely yours. You are responsible for what you do with your patients and for the consequences. We are not responsible for any clinical outcome, treatment, or any harm arising from how you run your practice or use this tool.
2. Your account
- Give accurate details when you sign up, and keep your password private. You are responsible for everything done under your login and your staff's logins.
- Tell us right away if you think someone else has got into your account.
- You must be allowed to run the clinic you register.
3. The prepaid wallet and charges
- Prepaid wallet. Each clinic runs on a prepaid wallet. Sending SMS costs money, charged from that wallet at the prices we set. Each of your clinics has its own separate wallet.
- Prices are set by us and can change. The price per SMS, the minimum top-up, and how long a wallet stays valid are decided by us and may change from time to time.
- Top-ups are non-refundable. Money you add to the wallet is not refundable.
- Unused balance can be forfeited. If a clinic isn't used for a period of time (set by us), its wallet balance may be reduced to zero at our discretion. Only wallet top-ups add to your balance — activation and other fees are recorded for your records but are not added to the wallet.
- Free trial. A new clinic starts on a free trial (a small number of appointments, invoices and consultants, and free booking-confirmation SMS). Adding staff logins, extra clinics, other SMS types and higher limits become available once the clinic is activated to a paid plan. Activation and other fees, if any, are as recorded by us.
4. SMS messages and consent
- You decide which SMS types are switched on and who they go to. You are responsible for having the patient's or consultant's consent to message them, and for following the telecom and DLT rules that apply to sending SMS in India.
- We can't guarantee that any SMS or email is delivered, or delivered on time — that depends on mobile networks and other providers we don't control.
- You are responsible for the accuracy of the phone numbers you enter. We are not responsible for messages sent to a wrong number you provided.
- Your patients contact you, not us. If a patient or consultant has any question or issue about a message they received, they should contact your clinic — you chose the service and you are the sender. We have no direct relationship with your message recipients.
5. Your data and backups
- The patient and clinic information you enter is yours. You are responsible for having the right to hold it and for its accuracy. For data-protection purposes you are the controller of your patients' data and we act as your processor (see our Privacy Policy).
- We are not responsible for data loss. We take reasonable care, but we do not guarantee your data against loss, corruption or unavailability. Keeping your own records and backups is your responsibility.
6. Acceptable use
- Don't use Cephas Docwell for anything unlawful, or to store data you're not allowed to hold.
- Don't try to reach another clinic's data, probe for weaknesses, or disrupt the service.
- Don't scrape, overload, resell or sublicense the service without our written agreement.
7. Service is provided "as is"
Cephas Docwell is provided "as is" and "as available", without any guarantee that it will be uninterrupted, error-free, or fit for a particular purpose. It may be unavailable at times for maintenance, updates, or reasons outside our control. We may add, change or remove features at any time. This is early-stage software and you use it on that basis.
8. Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect or knock-on losses — including lost data, revenue, patients or goodwill — arising from your use of Cephas Docwell. Our total liability to you for any claim is limited to the amount you actually paid us in the 3 months before the claim. We are not liable for failures of third parties such as SMS or email gateways, or for events outside our reasonable control (for example internet or power outages, "force majeure"). Nothing here removes any liability that can't be excluded under the law.
9. Suspension and termination
- You can stop using Cephas Docwell and ask us to close your account at any time.
- We may suspend or close an account (or a specific clinic branch) that breaks these terms, is misused, or where the law requires it — with notice where reasonably possible.
- If your account closes, exporting your own data beforehand is your responsibility; we are not liable for data once the account is closed. Retention is covered in our Privacy Policy.
10. You indemnify us
You agree to cover us against claims, losses and costs that arise from your use of Cephas Docwell, the content you enter, the messages you send, or the care you provide — including any claim brought by a patient or other third party.
11. Taxes
Any taxes (such as GST) on the services you bill your own patients are your responsibility.
12. Changes to these terms
We may update these terms from time to time. We'll update the "Last updated" date above, and continuing to use Cephas Docwell means you accept the current terms.
13. Governing law
These terms are governed by the laws of India, and the courts of Bengaluru, Karnataka will have jurisdiction over any dispute.
